As Howden’s share structure is unique and certain terms in Shareworks are not able to be changed, there are some different wordings in Shareworks than are usually used. These are explained in the user guide, which includes a Glossary for the most common of these terms.

To assist in managing any queries arising, we ask that you use the subjects suggested below in any emails to the shares team, so that your query can be directed appropriately.

Who do I contact if I have not received my account activation email?
Only non-SSO employees will receive an account activation email. Should your welcome email identify you as a non-SSO employee, and you have not received your activation email within 24 hours, email shares@howdengrp.com with the subject: ‘FAO Shareworks – account activation’

3. Employees with multiple accounts

  
  
I hold more than one share account, how can I access my other accounts?
Additional share accounts can be accessed via a link at the bottom of your Shareworks dashboard (landing page). Further details on account linking can be found in Section 3.1 Dashboard of this guide. 

If you have transferred shares to a ‘privileged relation’, your share accounts will not be linked without prior consent from both parties.

The initial linking of accounts may take up to 14 days to put in place once you have activated your account.

I have transferred shares to my family members; will they be informed about Shareworks?
Every shareholder will receive communications, including shares held by family members (‘privileged relations’), about the Shareworks launch, containing information on how to access and navigate the system. If your family member has not received any communication, please get in touch with shares@howdengrp.com.

The default position is that shares held by family members are not linked to the employee’s main account.

My Deed of Adherence is missing, what should I do?
Some Deeds of Adherence are still in the process of being uploaded, including 2024 ISO DoA’s, and will be available by 31 July 2024. If you have any questions, please email shares@howdengrp.com with the subject: ‘Shareworks – DoA’ 

A share notice is missing, what should I do?

My Loan agreement is missing, what should I do?
Loans agreements, in relation to shares, are only available where any employee has a long-term loan arrangement (> 1 year). If your loan agreement is missing please contact the shares team on shares@howdengrp.com with the subject: ‘Shareworks – Loan Agreement’

5. Leaving employment

  
  
What happens if I leave the company?
Any employee who leaves employment with the Howden must transfer any shares owned.  

The date of transfer, amount payable and timing of payment depends on the type of shares you hold. More information on this can be found in the stock legend on your A shares.

The Shares team will continue to calculate the value of shares held by any leaver and arrange for any necessary documentation to be completed. 

If I leave is the value shown the value I will receive?
No, the figures displayed in Shareworks are the target and/or current value of the shares based on your continued employment with Howden. Should an employee resign, they will be subject to the leaver rules set out in the articles and/or their Deed of Adherence.

6. Types of shares

  
  
What types of shares does HGH have?
HGH has six classes of ordinary shares, some of which have sub-classes. Each class of share has a nominal value.
  • A Ordinary shares of £0.01 – these are the primary shares in HGH and have full voting and dividend rights
  • A1 Ordinary shares of £1.00 – these shares have the same rights as the A Ordinary shares
  • D Ordinary shares of £0.00001 – these shares are used as incentive shares for businesses in Howden and have performance conditions attached which relate to both the business area and the A share price
  • E Ordinary shares of £0.00001 – these shares are used as incentive shares and have performance conditions attached related to the A share price
  • F Ordinary shares of £0.00001 – these shares are used as incentive shares and have performance conditions attached related to the A share price. F shares have voting rights
  • G Ordinary shares of £0.00001 – these shares are used as incentive shares for businesses in Howden and have performance conditions which relate to the business area, and a minimum A share price which needs to be achieved for the shares to have value

What are Pre Scheme, Scheme Post Scheme, Lagonda and Oxford shares?
HGH has several designations attached to its shares, which are used to determine the treatment when an employee leaves. Most shares in issuance are post-scheme shares.
  • Pre Scheme shares were generally acquired before the acquisition of RKH in 2015
  • Scheme shares were those arising on the acquisition of RKH in 2015
  • Post Scheme shares are typically those acquired after 30 April 2015, including incentive shares and any A shares resulting from the conversion of the incentive shares
  • Lagonda A shares were those issued on the acquisition of Aston Lark
  • Oxford A shares were those issued on the acquisition of A-Plan

I bought my A shares in an ISO, what kind of shares are these?
A shares purchased in an ISO are post-scheme shares. Some of the provisions attached to post-scheme shares are relaxed in the ISO as employees are investing their own funds. You should refer to the ISO circular (available through the Documents tab of Shareworks) or the Stock Legend text for the terms relating to your shares.

Please refer to section 3.2.1 – Securities for instructions on how to view the Stock Legend and section 3.4 for instructions on how to view the ISO circular. 

I acquired my A shares as part of a M&A transaction, what kind of shares do I have?
A shares acquired on the completion of a transaction are typically post-scheme shares. There may be specific terms attached to these A shares, which will be set out in your Deed of Adherence or a letter issued at acquisition.

I elected to receive A shares for a long service award, what kind of shares are these?
A shares delivered for a long service award are post-scheme shares with some rules relaxed. These are documented in the letter issued when the A shares are being awarded.

What does my account summary report show? 
Your incentive share data will be shown for shares that vested on or after 01 February 2023. Shares which converted prior to this date are recorded directly as A shares.

7. Loan Arrangements

  
  
Where can I find documentation for my loan arrangements?
If you have a long-term loan in place to support with the subscription costs of a share scheme, you’ll be able to find the associated loan agreement uploaded to your Shareworks profile by following the below steps:
  • Step 1. Navigate to the documents tab at the top of your Shareworks account
  • Step 2. Scroll to the section titled loan arrangements
If you have multiple long-term subscription loans in place or have made more than one draw down on a loan, you will see all the associated loan documents that have been uploaded to your Shareworks profile by following the above steps.

I have (or previously had) a short-term payroll loan in place to support with share scheme subscription costs. Where is my loan agreement for this arrangement?
Only loan documentation associated with long-term subscription loans has been uploaded to Shareworks. If you require information on any other type of loan arrangement, please contact the Howden Loans team on loans@howdengrp.com.

I have (or previously had) an advanced equity loan in place from when I joined the Company. Where is my loan agreement for this arrangement?

8. System updates

  
  
I am a new shareholder, when will I be able to view my data and documents? 
Data and documents will be uploaded as part of a monthly data upload cycle. The group aims to upload data by the 15th of the following month. Depending on the time of the month you acquired shares, it can take between 2-6 weeks to view your data. We will send you an email when your account has been set up with details on how to log in and use the system. 

I have recently acquired additional shares, when will I be able to view my updated data and documents?
Data and documents will be uploaded as part of a monthly data upload cycle. The group aims to upload data by the 15th of the following month. Depending on the time of the month you acquired shares, it can take between 2-6 weeks to view your data. 

I have sold some shares, when will I be able to view my updated share position? 
Data and documents will be uploaded as part of a monthly data upload cycle. The group aims to upload data by the 15th of the following month. Depending on the time of the month you acquired shares, it can take between 2-6 weeks to view your data.
