What types of shares does HGH have?
HGH has six classes of ordinary shares, some of which have sub-classes. Each class of share has a nominal value.

A Ordinary shares of £0.01 – these are the primary shares in HGH and have full voting and dividend rights

A1 Ordinary shares of £1.00 – these shares have the same rights as the A Ordinary shares

D Ordinary shares of £0.00001 – these shares are used as incentive shares for businesses in Howden and have performance conditions attached which relate to both the business area and the A share price

E Ordinary shares of £0.00001 – these shares are used as incentive shares and have performance conditions attached related to the A share price

F Ordinary shares of £0.00001 – these shares are used as incentive shares and have performance conditions attached related to the A share price. F shares have voting rights

G Ordinary shares of £0.00001 – these shares are used as incentive shares for businesses in Howden and have performance conditions which relate to the business area, and a minimum A share price which needs to be achieved for the shares to have value
What are Pre Scheme, Scheme Post Scheme, Lagonda and Oxford shares?
HGH has several designations attached to its shares, which are used to determine the treatment when an employee leaves. Most shares in issuance are post-scheme shares.

Pre Scheme shares were generally acquired before the acquisition of RKH in 2015

Scheme shares were those arising on the acquisition of RKH in 2015

Post Scheme shares are typically those acquired after 30 April 2015, including incentive shares and any A shares resulting from the conversion of the incentive shares

Lagonda A shares were those issued on the acquisition of Aston Lark

Oxford A shares were those issued on the acquisition of A-Plan
I bought my A shares in an ISO, what kind of shares are these?
A shares purchased in an ISO are post-scheme shares. Some of the provisions attached to post-scheme shares are relaxed in the ISO as employees are investing their own funds. You should refer to the ISO circular (available through the Documents tab of Shareworks) or the Stock Legend text for the terms relating to your shares.

I acquired my A shares as part of a M&A transaction, what kind of shares do I have?
A shares acquired on the completion of a transaction are typically post-scheme shares. There may be specific terms attached to these A shares, which will be set out in your Deed of Adherence or a letter issued at acquisition.
I elected to receive A shares for a long service award, what kind of shares are these?
A shares delivered for a long service award are post-scheme shares with some rules relaxed. These are documented in the letter issued when the A shares are being awarded.
What does my account summary report show?
Your incentive share data will be shown for shares that vested on or after 01 February 2023. Shares which converted prior to this date are recorded directly as A shares.
