A shares means the A ordinary shares of £0.01 each in the capital of the Company;
A1 shares means the A1 ordinary shares of £1.00 each in the capital of the Company;
Act means the Companies Act 2006, as amended from time to time;
Articles means the Articles of Association of the Company, as adopted from time to time;
Common (shares) means the holding of any A or A1 shares within Howden;
Cost basis means the original purchase value for shares remaining on a share certificate;
D shares means the D ordinary shares of £0.00001 each in the capital of the Company;
Deed of Adherence means the deed of adherence to the Shareholders' Agreement;
Deferred shares means the deferred shares of £0.00001 each in the capital of the Company;
E shares means the E ordinary shares of £0.00001 each in the capital of the Company;
F shares means the F ordinary shares of £0.00001 each in the capital of the Company;
Fair Market Value (FMV) means the current or target value of the shares in a fund (a grouping of shares for valuation purposes). A Ordinary shares have the code ‘HGH_PRIV’ which shows the latest share price adopted by the HGH board of directors;
G shares means the G ordinary shares of £0.00001 each in the capital of the Company;
Grant date means the date the D, E, F or G shares were officially awarded to you;
Grant number means the unique reference for an incentive share within Shareworks. This is not the same as your share certificate number;
HGH or the Company means Howden Group Holdings Limited, a company incorporated in England and Wales with registered number 02937398, whose registered office is at One Creechurch Place, London EC3A 5AF;
Howden Group means the Company and its subsidiary undertakings and associated undertakings;
Internal Share Offer (ISO) means the offer to sell or to acquire shares in the company which has been carried out from time to time, on the terms and subject to the conditions set out in the relevant ISO circular;
Realised value means any amounts realised by the employee as a result of the vesting of incentive shares, which will have been converted to an equivalent value of A shares;
Security date means the date of the last transaction of a specific share certificate. This will be the acquisition date if none of the shares have been sold, or the date of the last sale from that set of shares;
Security number means the unique reference for a share certificate within Shareworks. This is not the same as your share certificate number;
Shareholders' Agreement means the agreement between the Company and its shareholders dated 31, March 2021;
Share certificate refers to the certificate displayed on Shareworks, showing the balance of shares based on the event through which they were acquired;
Share class / class designation means the type of common shares that you hold in HGH, being either A Shares or A1 shares;
Shares forfeited means any D, E, F or G shares that were transferred as a result of an employee leaving midway through a D, E, F or G scheme, or on the cancellation of a D, E, F or G scheme;
Shares granted means the number of D, E, F or G shares originally subscribed for;
Shares outstanding means any D, E, F or G shares held as part of an ongoing incentive scheme;
Shares vested means any D, E, F or G shares that were still held following the vesting date of a scheme;
Stock Legend means a statement on a stock certificate with further information on the type of A shares, including the expected treatment on leaving and any specific rules on selling the shares;
Subscription cost means the amount paid by the employee to acquire the D, E, F or G shares;
Unvested shares means any D, E, F or G shares that you hold that are within their vesting period;
Vested shares means the common (A or A1) shares that you hold. |
